By accessing, browsing, registering on, or placing an order through the website www.icookmagic.com (the "Website") or any associated mobile application, social commerce channel, or digital platform operated by MAGIC24X7 HAPPINESS (OPC) PRIVATE LIMITED (hereinafter referred to as "Company," "We," "Us," or "Our"), you ("User," "Customer," or "You") unconditionally agree to be bound by these Terms of Use ("Terms"), together with our Privacy Policy, Shipping Policy, and Exchange & Replacement Policy, all of which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately cease use of this Website and all associated services.

These Terms constitute a legally binding agreement between you and the Company in accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and all other applicable laws of India.

3.1 The Website and its services are intended for persons who are legally competent to contract under the Indian Contract Act, 1872. You represent and warrant that you are at least 18 years of age, of sound mind, and are not disqualified from entering into a legally binding contract under any applicable law.

3.2 If you access or use the Website on behalf of a business entity, you represent and warrant that you have the requisite authority to bind that entity to these Terms, and "You" shall refer to such entity.

3.3 The Company reserves the right to refuse service, suspend accounts, or cancel orders at its sole discretion, including where it has reason to believe the user is under 18 years of age, has provided false information, or has violated these Terms.

4.1 Certain features of the Website, including placing orders and accessing order history, require you to register and create an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated at all times.

4.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account, whether or not authorised by you.

4.3 You agree to notify the Company immediately at info@icookmagic.com of any unauthorised access to or use of your account.

4.4 The Company shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

4.5 The Company reserves the right to suspend or terminate any account, without prior notice, if it has reasonable grounds to believe the account is compromised, misused, or operated in violation of these Terms.

5.1 The Company sells food products including spice blends and masalas, ready-to-cook meal kits, breakfast and snack instant mixes, dessert mixes, specialty flours, staples, dals and grains, nutritional and fortified products, spice dabbas, oils, honeys, spreads, sweeteners, pickles, and chutneys under the brand iCookMagic and associated brands including Satvam ("Products").

5.2 The Company endeavours to provide accurate product descriptions, ingredient lists, nutritional information, allergen declarations, images, and pricing. However, it does not warrant that all such content is fully accurate, complete, or error-free at all times.

5.3 All prices are displayed in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless stated otherwise. Prices are subject to change without prior notice.

5.4 In the event a Product is listed at an incorrect price due to a typographical or system error, the Company reserves the right to cancel such orders and notify the Customer accordingly, providing a full refund where payment has already been collected.

5.5 Product images and packaging representations on the Website are for illustrative purposes only. Actual packaging, colour, and appearance may vary within acceptable commercial limits.

5.6 All Products are manufactured and sold in compliance with applicable FSSAI regulations and food safety standards.

6.1 When you place an order on the Website, you are making an offer to purchase the selected Products at the stated price and terms. A binding purchase contract is formed only upon the Company's issuance of an Order Confirmation communication to your registered email address.

6.2 The Company reserves the right to accept or reject any order, including on grounds of product unavailability, pricing errors, suspected fraud, payment failure, or incomplete delivery information.

6.3 You are solely responsible for the accuracy of delivery information provided at checkout. The Company shall not be liable for non-delivery or mis-delivery resulting from incorrect or incomplete address information.

6.4 Bulk, institutional, or unusual volume orders may be subject to additional verification before processing.

7.1 The Company accepts payments exclusively through prepaid modes, including credit cards, debit cards, net banking, UPI, and authorised digital wallets. All transactions are processed through secure, PCI-DSS compliant payment gateways. Cash on Delivery (COD) is not available.

7.2 By providing payment details, you represent and warrant that you are duly authorised to use the payment instrument provided, and that all payment information is accurate and complete.

7.3 The Company does not store payment card data on its servers. All payment processing and storage is handled by the respective payment gateway in accordance with applicable data security standards.

7.4 In case of payment failure, the Company shall not be responsible for delays in order processing. If an amount is debited from your account despite a failed transaction, it will typically be auto-reversed within 5–7 business days. If not, please contact us at info@icookmagic.com with proof of the deduction.

7.5 Any unauthorised transaction must be reported immediately to your bank and to the Company at info@icookmagic.com.

8.1 All content on the Website, including text, graphics, logos, button icons, images, audio clips, digital downloads, and software, is the exclusive property of MAGIC24X7 HAPPINESS (OPC) PRIVATE LIMITED or its licensors, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws.

8.2 The trademarks iCookMagic, Magic Mixx, Magic Partners Programme, and all associated logos and brand identifiers are proprietary marks of MAGIC24X7 HAPPINESS (OPC) PRIVATE LIMITED. No right or licence is granted to any third party to use these marks without express written consent.

8.3 You may not reproduce, copy, modify, distribute, transmit, display, publish, sell, or create derivative works from any part of the Website or its content without express written permission from the Company.

8.4 Any user-generated content submitted to the Website — including reviews, ratings, recipe submissions, or testimonials — shall be deemed to grant the Company a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, adapt, publish, translate, and distribute such content across all media channels.

You expressly agree not to:

9.1 Use the Website for any unlawful, fraudulent, or unauthorised purpose.

9.2 Interfere with or disrupt the integrity or performance of the Website or the data contained therein.

The Company exercises no control over the content, policies, or practices of third-party websites and accepts no responsibility for them.

10.2 Your interactions with third-party payment gateways, logistics providers, and social platforms are governed solely by the terms and privacy policies of those respective third parties.

11.1 The Website and all Products are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the Company makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 The Company does not warrant that the Website will be continuously available, error-free, or free of viruses or other harmful components.

12.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or in connection with your use of the Website or Products.

12.2 The Company's aggregate liability for any claim arising under or in connection with these Terms shall not exceed the amount actually paid by the Customer for the specific Product giving rise to such claim.

12.3 The Company shall not be liable for any allergic reactions, adverse health effects, or other consequences arising from consumption of Products by individuals who failed to read the ingredient list, allergen warnings, or usage instructions provided on the product packaging or Website.

You agree to fully indemnify, defend, and hold harmless MAGIC24X7 HAPPINESS (OPC) PRIVATE LIMITED, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

(a) Your violation of these Terms or any applicable law; (b) Your use or misuse of the Website or Products; (c) Your infringement of any intellectual property or other rights of any person or entity; or (d) Any content submitted by you to the Website.

14.1 In accordance with the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and the Information Technology Act, 2000, the Company has designated a Grievance Officer:

14.2 Customers may also escalate unresolved complaints to the National Consumer Helpline (NCH) at 1800-11-4000 or through the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.

15.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 In the event of any dispute, the parties shall first attempt resolution through good-faith negotiations within 30 days of written notice of the dispute.

15.3 Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended), before a sole arbitrator mutually appointed by both parties. The seat, venue, and language of arbitration shall be Mumbai, Maharashtra, India and English respectively.

15.4 Subject to the above arbitration clause, the courts of competent jurisdiction in Mumbai, Maharashtra, India shall have exclusive jurisdiction.

The Company may revise these Terms at any time without prior notice. All revisions take effect immediately upon posting to the Website. Your continued use of the Website following any revision constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, it shall be modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy, Shipping Policy, Exchange & Replacement Policy, and any other policies published on the Website, constitute the entire agreement between you and the Company with respect to your use of the Website and supersede all prior agreements, representations, and understandings.
